Modern technology presents both opportunities and challenges for the governance professional, whose responsibilities have grown to be much more diverse and multi-faceted as governance work continues to evolve. Technology-assisted compliance can be cost-effective and the introduction of artificial intelligence may enhance and simplify the more mundane day-to-day procedural work. However, mere access to the latest technology and automated tools will not suffice as the proper and effective implementation of these technology remains to be critical. HKCGI is delighted to present a series of six technology-themed webinars from February to May 2022, led by industry leaders and experts from within the technological and compliance sector. The speakers will introduce the latest compliance technology and related developments, with a focus on practical applications and emerging governance trends.
Session 3: Utilising Data to Reveal Governance Trend and Prepare for Your Shareholder Meetings
Corporate Governance can often be a hot topic during shareholder engagement. Listed companies can particularly feel the heat when they reach out to shareholders for an upcoming shareholder meeting when not adequately prepared. Nowadays, both shareholders and issuers can make use of data analytics to reveal how closely a company follows corporate governance trends when compared to their peers in the region and across the globe. By drawing relevant conclusions from data, issuers can better understand shareholders’ expectations before putting forward a candidate for board election, or a proposal such as an equity compensation plan or a related party transaction.
In this seminar, speaker from ISS Corporate Solutions, a leading firm in the area will review the corporate governance trends in Hong Kong as compared to other regions, and examine what kind of data could be used to spot governance risks in practice, and what types of proposals would most likely trigger concerns from proxy advisors and the general investor community.
