| Skill & experience: | Mr Chau is a HK and UK qualified solicitor with over 25 years of experience at Herbert Smith Freehills, where he was a Partner of Corporate in Herbert Smith Freehills Beijing/Hong Kong. His practice specialises in M&A, corporate restructuring, securities’ issuing, IPOs, corporate governance, ESG and anti-money laundering. He has completed more than 50 IPOs and regularly advises over 20 listed companies on compliance and regulatory matters. In addition, he has given presentations to various PRC agencies, government departments, academic institutions, and HKEX on the legal issues relating to listings in Hong Kong. In addition, Mr Chau is a Certified Anti-Money Laundering Specialist and an Arbitrator of Beijing Arbitration Commission. He was also an adjunct associate professor of the Master of Finance program of The Chinese University of Hong Kong and a director of the Research Centre of International Financing & M&A of Zhejiang University, as well as currently an external supervisor of the post-graduate program of North China University of Technology. |

| Skill & experience: | In his current position as Deputy General Manager of Global Development Department, Mr Luo is responsible for corporate governance matters of all overseas banking subsidiaries of Bank of China Group as well as development of regional headquarters. Mr Luo has over 20 solid years of applied corporate governance experience in board and listed compliance issues, investor relations, IPO, M&A and other projects, with a comprehensive understanding of governance best practices in Hong Kong, the Chinese mainland and international business. In 1996, Mr. Luo joined Bank of China, Beijing, where he played a key role in the core team for the IPOs of BOC Hong Kong (Holdings) Limited (HKEX stock code: 2388) and Bank of China Limited (BOC) (HKEX stock code: 3988 and SSE stock code: 601988). By 2007, he qualified as an A-share board secretary, and became the Listing Affairs Representative and Head of Investor Relations of BOC. In 2009, he was promoted as Deputy General Manager, Board Secretariat, BOC and by 2016, he held the positions of Board Secretary and Company Secretary of BOC Hong Kong (Holdings) Limited. Due to a change in role, Mr Luo resigned from his previous positions and was promoted to his current position in July 2024. Mr Luo holds an MBA from the University of Toronto and an MCG from the Hong Kong Metropolitan University. |

| Skill & experience: | Mr Healy is a governance professional with over 20 years of experience in company secretarial and corporate governance practice. He joined Link in May 2020. Before assuming his current position, he served as Director of the Corporate Governance Secretariat, overseeing a comprehensive suite of company secretarial services and provides strategic support to the board of directors for this dynamic and acquisitive group. Prior to joining Link, Mr Healy held senior roles in HSBC in both London and Hong Kong, latterly as HSBC’s Global Head of Corporate Governance Advisory. In this role, he played a pivotal role in developing and implementing solutions to address multi-jurisdictional governance, legal and regulatory issues. Earlier in his career, Mr Healy was the Deputy Company Secretary of SEGRO plc, a FTSE100 real estate investment trust, where he also acted as trustee for two defined benefit pension schemes. He began his career in information systems before transitioning to corporate governance. He pursued his chartered secretary qualifications while working at Centrica plc, a FTSE30 energy company. Mr Healy holds a Bachelor of Law (Hons) degree from the University of Greenwich and a Master of Science degree from the University of Strathclyde Business School. |

| Skill & experience: | As Vice President, Professor Au is responsible for spearheading the planning and implementation of strategic initiatives and projects to advance HKMU’s vision, mission and objectives. This includes overseeing HKMU’s international and Mainland relations and collaborations, as well as promoting HKMU’s continuous development, particularly as Hong Kong’s first University of Applied Sciences. With over 30 years of experience in his academic career, Professor Au has published widely in internationally referred journals covering areas such as business ethics, international management, technology transfer and marketing. As Principal or Co-Principal Investigator, he has received over HK$20 million in external competitive grants and internal grants. Professor Au is also committed to promoting knowledge exchange between the academia and society at large. He has published articles extensively in major local newspapers and business magazines on topics relating to branding, consumer behaviour, management, and marketing communications. Over the years, Professor Au has also engaged in numerous consultancy projects for the public and private sectors, such as the Hong Kong Government, U.S. Government, Hong Kong Trade Development Council, District Boards, Bureau of Foreign Trade and Cooperation of Guangzhou Municipality, A.S. Watson Asia Limited, and KONE Hong Kong. |

Mr Young is responsible for the full spectrum of corporate secretarial and corporate governance functions at The Hong Kong Jockey Club and its group companies. He also serves as the Company Secretary for various subsidiaries and foundations of the Club. With over 15 years of experience in the corporate secretarial field, Mr Young has worked in Hong Kong, Singapore, and London. He has provided professional corporate secretarial services and advice to numerous Hong Kong listed companies, as well as multinational, public, private, offshore companies, and NGOs. An avid sports fan, Mr Young is passionate about sports and charity governance. Mr Young holds a bachelor’s degree in Laws from the University of Exeter, a master’s degree in Laws from the Chinese University of Hong Kong, and has completed a management and leadership programme at Harvard Business School. |

Mr Zhang obtained his Masters of Laws degree from the Northwestern University, U.S. and the New York University, U.S., and an MBA degree from the Sun Yat-sen University, China. He is a doctorate candidate of law at the University of Hong Kong. Mr Zhang has over 20 years of experience in areas of corporate governance, management, law, investment and financing, accounting and taxation. He is admitted to practice law in the State of New York. Mr Zhang has been awarded the Golden Board Secretary in 2023 by the New Fortune. As one of the leading coordinators of the H-share listing of TLC, Mr Zhang jointly coordinated the entire process of the company’s successful H-share IPO. He is responsible for the daily affairs of the board of directors, corporate governance, securities affairs and information disclosure, investor relations, equity financing, legal affairs, compliance management and risk management etc. Mr Zhang also serves as the non-executive chairman of a lithium mining subsidiary of TLC in Australia. Prior to joining TLC, Mr Zhang served as the head/managing director of a Chinese financial institute’s overseas holding company in Hong Kong, a partner at the Shanghai office of an international law firm as well as relevant positions in other domestic and overseas companies. |

He is the Past Chairman (2019-2021) of the Financial Reporting Standards Committee of HKICPA, which is responsible for setting financial reporting standards in Hong Kong. During his tenure, Mr Lee represented HKICPA on many international and regional meetings on standard setting.
