Research Report on Board Effectiveness Evaluation
In December 2024, the Hong Kong Stock Exchange published its latest amendments to the Corporate Governance Code (CG Code) and related Listing Rules. In May 2025, it issued a Corporate Governance Guide for Boards and Directors. New Code Provisions (subject to “comply or explain”) stipulate that listed companies should conduct a board effectiveness review every two years and disclose the review details, as well as a board skills matrix. The amended CG Code and related Listing Rules took effect in July 2025.
The Institute is delighted to partner with Willis Towers Watson (WTW) to launch a dedicated research project in April 2025. This research project surveyed 71 Hong Kong-listed companies on board effectiveness through questionnaires, focusing on core areas including board strategic planning, governance oversight, composition, internal management practices, and overall working dynamics. The research synthesized the current state of corporate governance and identified systemic issues across boards concerning time allocation on topics, ESG strategy formulation, new risk management, and the initiation of board evaluations.
