The purpose of this CSP training series aims to provide practical knowledge and examples to members and other practitioners who wish to seek hands-on knowledge and case studies of handling company secretarial assignments and statutory compliance works for listed companies.
In this seminar, the speaker will share some practical examples, real case studies, work experiences and tips on the compliance issues for connected transactions of listed companies under Chapter 14A of the Main Board Listing Rules. The following items will be covered:-
- Review the nature and definition of connected transactions
- Analyse the definition and identification of connected person, associate, connected subsidiary and deemed connected person
- Apply the disclosure requirements in announcement, circular, annual reporting and shareholders’ approval
- Identify the compliance issues on continuing connected transactions
- Analyse the major exemptions relating to connected transactions
- Practical sharing on the relevant announcements
