Description

The role of company secretaries has become increasingly vital in corporate governance across public companies, private enterprises, and non-governmental organizations in Hong Kong. Their responsibilities have evolved beyond mere compliance and administrative functions to encompass strategic advisory roles, guiding directors and senior management through critical decision-making processes. This expanded scope of accountability necessitates a comprehensive understanding of corporate operations, relevant regulations, and foundational knowledge in various aspects of company secretarial practice.

To support students, graduates, members of the Institute, and aspiring professionals in the company secretarial field, the Institute is pleased to re-run the Foundation Training Series in Company Secretarial Practice, scheduled from August 2025 to June 2026. Led by the esteemed Ms YT Soon FCG HKFCG(PE), this series will consist of six online sessions, providing a thorough introduction to compliance issues in six key areas relevant to private limited companies in Hong Kong.

In Session 3 – Statutory Records of Hong Kong Private Limited Companies, the following elements will be covered: 

• Requirements of the Companies Ordinance on keeping registers and company records (“Statutory Records”), including:
  • Register of Directors
  • Register of Company Secretaries
  • Register of Members
  • Register of Significant Controllers
  • Register of Charges
  • Register of Debenture Holders
  • Register of particulars referred to in s. 384
  • Minutes/resolutions of directors & members
  • Permitted indemnity provision
  • Management contracts
• Ongoing requirements on maintenance of Statutory Records
• Provisions of the Companies Ordinance relating to common seal and share certificate
