Description

Poor boardroom dynamics can lead to significant consequences, including strained relationships among board members, ineffective decision-making, and potential legal ramifications. These issues can result in a loss of stakeholder confidence, a diminished organisational reputation, and even financial setbacks. Therefore, fostering a collaborative and respectful boardroom environment is essential for maintaining operational integrity and achieving strategic objectives.

In this seminar, we aim to explore essential strategies for navigating challenges in the boardroom. A seasoned practising lawyer will cover three critical topics:

  1. Handling Disruptions in Board Meetings: Learn about notice and quorum requirements for board meetings, and practical tips to deal with potential disruptions in convening and continuing with board meetings between competing camps.
  2. Dealing with Dubious Transactions: Understand the red flags of questionable dealings and gain insights into best practices for complying with directors’ duties in scrutinizing transactions.
  3. Seeking Legal Redress Against Uncooperative Directors: Explore the legal avenues available to address non-compliance and protect the interests of the organisation.

Following the presentation, participants will engage in an interactive panel discussion featuring our expert lawyer, and two governance professionals with extensive experience in serving listed companies and non-governmental organisations. This dynamic exchange will foster in-depth dialogue on real-world scenarios to share experiences and develop innovative solutions to complex issues.

This seminar is designed for directors, senior management, and governance professionals across all types of business organisations. Join us to enhance your understanding of boardroom dynamics and equip yourself with practical tools to resolve disputes effectively. Don’t miss this opportunity to elevate your governance skills and network with industry peers.
