Description

In the fast-paced world of corporate transactions, the importance of clear and precise disclosures cannot be overstated. Unfortunately, many companies resort to copying and pasting language from previous deal announcements, leading to vague and potentially misleading disclosures. Such practices not only dilute the relevance of the information provided but also heighten the risk of regulatory scrutiny and queries from governing bodies.

This seminar aims to equip directors, governance professionals, and senior managers with the tools and insights necessary to craft effective deal announcements and circulars that comply with Listing Rules.

Two experienced lawyers will share how to identify common pitfalls and avoid the trap of generic language through a series of real-life case studies. They will also cover best practices for ensuring that disclosures are not only compliant but also meaningful, providing stakeholders with the clarity they need to make informed decisions.

Following the presentation, a panel discussion will explore investors' expectations regarding disclosures from listed companies and potential strategies for enhancing the likelihood of passing resolutions in general meetings.

Attendees will benefit from practical tips on structuring announcements, tailoring content to specific transactions, and enhancing transparency. By fostering a culture of accountability and diligence in disclosures, companies can mitigate risks and strengthen their reputation with regulators and investors alike.
