Under today’s complex regulatory landscape, listed companies, their directors and governance professionals face significant challenges in managing loans and lending arrangements while ensuring compliance with the regulatory requirements under the Hong Kong Listing Rules and the Securities and Futures Ordinance. The SFC, HKEX and AFRC have raised concerns on the risks of mishandling such financing arrangements after identifying a series of loans-related misconduct cases. The regulators have taken enforcement actions against the relevant issuers and directors, and also published guidance materials on their expectations of the approach to be adopted by listed issuers to safeguard investor interests.
The Institute has recently published its Tenth & Eleventh issues of the Securities Law and Regulation Guidance Note to summarise the relevant regulatory requirements and share the best practices for listed issuers in handling loans and lending arrangements.
In this seminar, two leading lawyers in the contentious regulatory space from Sidley Austin, being the authors of the aforementioned Guidance Note, will discuss the key legal and regulatory considerations outlined in the Guidance Note, as well as practical tips for avoiding common pitfalls and maintaining good corporate governance related to loans and lending arrangements requirements based on some recent enforcement cases.
A panel discussion, joined by a seasoned auditor from a Big Four firm, and the company secretary & group financial controller of a listed company, will follow to explore the practical challenges faced by listed issuers and governance professionals when granting and taking loans, and the associated implications on risk management and financial reporting.
Participants will gain valuable insights into best practices for ensuring adherence to regulatory requirements while effectively managing lending arrangements.
