Job Description
Duties and Responsibilities:
- Leads and manages the Company Secretarial Department, providing supervision and guidance to team members
- Oversees the full spectrum of company secretarial matters for NagaCorp and its subsidiaries in Hong Kong and other offshore jurisdictions
- Collaborates with the board of directors and committees to ensure Naga Group’s business operations comply with applicable regulations, while continuously enhancing the corporate governance framework and regulated operations
- Advises the board and senior management on corporate governance matters, ensuring compliance with Hong Kong listing rules, SFO, and other relevant regulations
- Oversees corporate matters for Naga Group’s subsidiaries globally
- Prepares annual and interim reports, announcements, and circulars, coordinating with internal and external professionals to ensure compliance with disclosure requirements under Hong Kong listing rules
- Plans, organizes, and manages the convening of board/committee/shareholders’ meetings
- Directs and coordinates the corporate secretarial department’s work plans, assigns responsibilities, and evaluates work methods
- Assists transactional teams on M&A, corporate finance, acquisitions, and other ad-hoc projects assigned by senior management
- Ensures timely statutory filings and maintains accurate statutory records for Naga Group
- Enhances the corporate governance framework and ensures effective communication with stakeholders
- Handles a wide range of company secretarial duties related to corporate projects (e.g., corporate expansion, mergers & acquisitions, fundraising, connected transactions), legal, and regulatory compliance
- Represents Naga Group in managing relationships with regulatory bodies, licensing authorities, and external professionals
Minimum Qualifications
- Fellow/Associate member of HKCGI/CGI and university graduate
- At least 5 years’ solid experience as a named company secretary in Hong Kong listed companies with at least 7 years’ company secretarial experience, some of which at managerial level in Hong Kong listed companies
- Good interpersonal skills, communication skills, coordination skills, organization skills, administration capabilities, self-motivated with a strong sense of responsibility
- Ability to handle and prioritize multiple high-level projects, strong attention to detail and ability to thrive in fast paced, heavy work environment
- Team head to deliver quality works, meet deadlines and effectively supervise team members
- Well-versed in prevailing Listing Rules, Companies Ordinance, Takeover Codes and Securities and Futures Ordinance, and other statutory and compliance requirements
- Familiar with corporate governance and transactions
- Capable of effectively leading a team and with strong sense of responsibility
- Detail-minded and ability to work autonomously and to adapt to changing priorities
- Proficient in Microsoft Office, including Excel, PPT, Word, and Outlook
- English and Chinese Language Proficiency
