Mr Simmonds is responsible for CLP Group strategic planning and the strategy agenda as well as driving the Group’s sustainability agenda and ensuring that it is embedded into the business. He is also responsible for managing the investments and ventures that help support CLP’s growth strategy, the Group’s investments in Taiwan Region and Thailand and the Group’s property development activities. In addition, Mr Simmonds is the Group General Counsel of CLP Holdings, responsible for the provision of legal, corporate secretarial and insurance services across the Group. |

She graduated from the Hong Kong Polytechnic University with a Professional Diploma in Company Secretaryship and Administration. |

His practice focuses on M&A, corporate restructuring, securities’ issuing, IPOs and corporate governance. He has completed more than 50 IPOs and is now regularly advising more than 20 listed companies on compliance and regulatory matters. In addition, he has given presentations to various PRC agencies, government departments, academic institutions, and HKEX on the legal issues relating to listings in Hong Kong. Mr Chau has been an adjunct associate professor of the Master of Finance program of The Chinese University of Hong Kong and is currently a director of the Research Centre of International Financing & M&A of Zhejiang University. |

Skill & experience: | Mr Luo is a seasoned governance professional, with Hong Kong, the Mainland and international business experiences and understandings of governance best practices. Mr Luo has over 20 solid years of applied corporate governance experiences in board and listed compliance issues, investor relations, IPO, M&A and other projects stems from his background. In 1996, he joined Bank of China, Beijing, where he worked his way to be on the core team for the IPOs of BOC Hong Kong (Holdings) Limited (HKEX stock code: 2388) and Bank of China Limited (BOC) (HKEX stock code: 3988 and SSE stock code: 601988). By 2007, he qualified as an A-share board secretary, and became the Listing Affairs Representative and Head of Investor Relations of BOC. In 2009, he was promoted as Deputy General Manager, Board Secretariat, BOC and by 2016, Board Secretary and Company Secretary of BOC Hong Kong (Holdings) Limited. Due to the change of job, Mr Luo resigned from his roles as Board Secretary and Company Secretary of BOC Hong Kong (Holdings) Limited and its principal operating subsidiary, Bank of China (Hong Kong) Limited, and he was promoted to the position of Deputy General Manager, Globalization Office, Bank of China from July 2024. |

Skill & experience: | Mr Chow has extensive experience in financial reporting, corporate restructuring and recovery including liquidations, receiverships, financial reviews and personal insolvencies. He is experienced in taking on appointments, including Court-appointed receivership, arising from shareholders and family’s disputes, including deceased estate and matrimonial proceedings, and is able to provide independent advice and pragmatic solutions to resolve situations and disputes. Mr Chow possesses hands-on experience in managing corporate finance related matters and has advised on the provisional liquidations and receiverships and assisting in listed companies in addressing long suspension issues (including regulatory enquiry and audit issues) of several Hong Kong listed companies, as well as assisted in the successful resumption of trading for several of those companies. He has handled numerous liquidation and receivership appointments in Hong Kong, the British Virgin Islands, Bermuda, the Cayman Islands and Samoa, and has conducted corporate workout, restructuring, operational turnaround and due diligence assignments in the region. |

Skill & experience: | Alan Au is a Fellow of The Chartered Governance Institute (CGI) in the United Kingdom and The Hong Kong Chartered Governance Institute (HKCGI). With over 30 years of experience in his academic career, Prof. Au has published extensively in internationally referred journals covering areas such as business ethics, international management, technology adoption, and marketing. Over the years, as Principal or Co-Principal Investigator, he has received over HK$20 million in external competitive grants and internal grants. Beyond his contributions to the academic community, Prof. Au is deeply committed to promoting the exchange and transfer of knowledge between the academia and society at large. He has published over 200 articles in major Hong Kong newspapers and business magazines on topics relating to branding, consumer behaviour, management, and marketing communications. Furthermore, as part of his remit to drive and support knowledge transfer in the areas of corporate governance, management and marketing, and sustainability, he has conceived and contributed significantly to the production of a number of TV programmes in related fields for the “Knowledge For All” programme broadcasted on major public channels in Hong Kong. Over the years, Prof. Au has also engaged in numerous consultancy projects for the public and private sectors, including the Hong Kong Government, Hong Kong Trade Development Council, the Bureau of Foreign Trade and Cooperation of Guangzhou Municipality, and KONE Hong Kong. He is currently also the Chair of the Professional Standards Committee of CGI and member of the Executive Committee of its International Council. |

Skill & experience: | Mr Healy is a practising governance professional with two decades of company secretarial experience. He is Director – Company Secretariat of Link, a listed multinational real estate investment trust and a constituent of the Hang Seng Index. In this role, he is responsible for supporting the board and providing a full suite of company secretarial services for this acquisitive group. Mr Healy has held senior roles in HSBC in both London and Hong Kong, latterly as HSBC’s Global Head of Corporate Governance Advisory. At HSBC, he was responsible for the formulation and delivery of solutions to multi-jurisdictional governance, legal and regulatory issues. Prior to that, he was the Deputy Company Secretary of SEGRO plc, a FTSE100 real estate investment trust, where in addition to his company secretarial role, he was a trustee for two defined benefit pension schemes. Having started his career in information systems, Robin then trained as a chartered secretary in Centrica plc, a FTSE30 energy company with operations spanning into telecoms and insurance. |

Mr Young is responsible for the full spectrum of The Hong Kong Jockey Club’s corporate secretarial and corporate governance functions. He is also the Company Secretary of various subsidiaries and foundations of the Club. Mr Young has over 15 years of working experience in the corporate secretarial field. His secondment to London and a project assignment in Singapore, while working for one of the largest conglomerates in Hong Kong, helped him gain a broad international perspective. He has been providing professional corporate secretarial service and advice to a number of Hong Kong listed companies as well as multinational, public, private, offshore companies and NGOs. He is an avid sports fan, full marathoner and triathlete who is passionate about sports and charity governance. Mr Young holds a bachelor’s degree in Laws from the University of Exeter, a master’s degree in Laws from the Chinese University of Hong Kong and completed a management and leadership programme from Harvard Business School. |

Mr Zhang obtained his Masters of Laws degree from the Northwestern University, U.S. and the New York University, U.S., and an MBA degree from the Sun Yat-sen University, China. He is a doctorate candidate of law at the University of Hong Kong. Mr Zhang has over 20 years of experience in areas of corporate governance, management, law, investment and financing, accounting and taxation. He is admitted to practice law in the State of New York. Mr Zhang has been awarded the Golden Board Secretary in 2023 by the New Fortune. As one of the leading coordinators of the H-share listing of TLC, Mr Zhang jointly coordinated the entire process of the company’s successful H-share IPO. He is responsible for the daily affairs of the board of directors, corporate governance, securities affairs and information disclosure, investor relations, equity financing, etc. Mr Zhang also serves as the non-executive chairman of a lithium mining subsidiary of TLC in Australia.
