Description

An effective board of directors and a functioning governance structure are crucial to safeguard your business and provide a foundation for sustainable success. Assessment of the board performance must be conducted on a regular basis so as to ensuring smooth decision-making at top-level management. This is particularly important for Hong Kong listed companies where the Listing Rules of Hong Kong (Appendix 14 for Main Board and Appendix 15 for GEM) have stipulated the relevant principles and code provisions.

In this seminar, the speaker will go through the following elements with the focus on Hong Kong listed companies:

  • Hong Kong listing rule requirements
  • Role of the board
  • Increasing expectations on the board
  • Emerging governance issues for the board
  • Board effectiveness framework
  • Approach on board performance evaluation
  • Expected outcomes of conducting board performance evaluation
  • Case studies

(Note: The Exchange published the ‘Consultation Conclusions on the Review of Corporate Governance Code’ on 10 December 2021. The majority of the changes to the Corporate Governance Code has become effective from 1 January 2022 and are not reflected in the programme as the seminar was conducted in July 2021.)
