Description

This seminar will guide you through the essential requirements for holding an annual general meeting (AGM) by private and guarantee companies in Hong Kong. Best practices for planning and executing AGMs will be covered with focus on enhancing shareholder engagement and meeting logistics.

In response to the growing demand from members of Guarantee Companies for online participation in general meetings, there is an increasing need for appointing scrutineers to ensure the integrity and transparency of the voting process. By providing an independent oversight function, scrutineers help to build trust among shareholders and reinforce the legitimacy of the AGM outcomes.

The speakers will cover the following areas from the company secretarial and technology perspectives:

  1. Requirements to hold AGM
  2. Convening AGM
  3. Proceedings at AGM
  4. Business to be dealt with at AGM
  5. Voting procedures at AGM (including the roles of scrutineers)
  6. Leveraging technologies in AGM
  7. Adjournment of AGM
  8. Consequence of not holding AGM
  9. Exemption for holding AGM
  10. Passing of written resolutions

With the increasing importance of shareholder involvement in corporate governance, it is crucial to be well-prepared to address their concerns and expectations. Join the seminar and learn how to navigate the evolving landscape of AGM requirements and make your AGM a valuable experience for all stakeholders.
