Description
Hong Kong Exchanges and Clearing Limited (HKEX) published the ‘Consultation Conclusions on the Review of Corporate Governance Code and Related Listing Rules’ on 19 December 2024. Most of the changes will be effective on 1 July 2025. The review is aimed at addressing corporate governance issues in the areas of (a) board effectiveness (including annual director training), (b) board independence, (c) diversity, (d) risk management & internal control, and (e) capital management.
As a trusted governance adviser, it is imperative for the governance professional to be knowledgeable on the practical impacts of the changes.
In this seminar, Ms Kelly Lee, Senior Vice President, Policy and Secretariat Services, Listing, HKEX will provide an in-depth overview of the consultation conclusions, highlighting the key changes and the rationale behind them.
A panel discussion will follow, featuring Ms Kelly Lee, Mr Frank Yuen FCG HKFCG, Member of the HKEX Listing Committee; Group General Counsel and Head of Compliance at CK Hutchison Holdings Limited, and Ms Wendy Ho FCG HKFCG(PE), Council Member of the Institute and Executive Director of Company Secretarial Services at Vistra.
Ms Ellie Pang FCG HKFCG(PE), Chief Executive of the Institute, will introduce the Institute’s Director Training Package designed to enable directors to fulfill HKEX’s new mandatory director training requirements.
Participants will gain a clear understanding of the regulators’ expectations on the new corporate governance measures, as well as valuable insights from experienced practitioners’ on how best to align with the new rules.
