In today’s complex corporate landscape, the effectiveness of a board of directors is paramount to the success and sustainability of any listed issuer. This seminar seeks to address the pivotal question: How can we enhance board effectiveness?

To explore this, we can draw upon essential principles outlined in the Corporate Governance Code as stipulated by the Listing Rules. A well-functioning board should embody a diverse mix of skills, experiences, and perspectives, ensuring that members dedicate adequate time and effort to their roles. It is crucial for the board to maintain a balanced composition of executive and non-executive directors, fostering a robust independent element that can exercise sound judgment and provide impartial oversight. Non-executive directors, in particular, must possess the necessary caliber and sufficient numbers to ensure their insights and opinions are valued and impactful.  

However, these principles alone are insufficient without a comprehensive understanding of the distinct roles, functions, and responsibilities of the board, its committees, and individual directors.

In this engaging seminar, a seasoned practicing lawyer will lead participants through a detailed examination of the specific functions and responsibilities of the board and its committees, including audit, remuneration and nomination committees, as well as the vital roles played by independent non-executive directors.

By the end of the session, participants will be equipped with practical strategies and best practices to enhance board effectiveness, ensuring that they can contribute meaningfully to their businesses and uphold the highest standards of corporate governance.
