Description

Directors of companies based in Hong Kong often find themselves serving as directors in other jurisdictions through various holding or management entities. They may also be classified as shadow directors, even if not officially named. Governance professionals, tasked with supporting the board, must understand the duties and liabilities of directors across relevant jurisdictions, in addition to Hong Kong's governing laws. This knowledge is crucial, as directors may need to initiate or defend against legal actions in offshore locations.

In this seminar, an experienced lawyer will explore the duties and liabilities of directors under the laws of the British Virgin Islands (BVI), the Cayman Islands, and Bermuda, particularly in light of the financial challenges faced in recent years.

Key Outline:

  1. A comprehensive analysis of the duties applicable to directors of offshore companies in the BVI, Cayman Islands, and Bermuda, including the relevant laws and their consequences
  2. Practical case studies illustrating breaches of directors' duties
  3. Litigation against rogue directors and enforcement strategies

The seminar will conclude with a panel discussion addressing the practical difficulties of identifying risk exposure and strategies for risk mitigation.
