The purpose of the Company Secretarial Practical Training Series is to provide training to members who wish to seek hands-on knowledge and practical experience of the company secretarial practices in listed companies.
In this seminar, the speaker will share some practical examples, case study and tips for the change of directors, officers and other corporate positions in relation to the procedures and requirements in accordance with the Companies Ordinance, the Listing Rules and other rules & regulations, as per the key outline stated below:
- Outline of major procedures for the change in directors, supervisors, company secretaries and authorized representatives
- Guidelines on director independence under the Listing Rules
- Understand the composition of audit committee, remuneration committee, nomination committee and other board committees
- Evaluate the issues for the change in auditors
- Practical sharing of the relevant corporate governance code
