Description

To deepen their comprehension of governance, governance professionals must be aware of comparative changes across jurisdictions. They also need to be aware of governance concerns with a multi-jurisdictional dimension.

This seminar will discuss and share research findings based on focused group discussions and interviews with directors, lawyers, company secretaries, and board head hunters on the implementation of business judgements, and proposes good governance practices for directors in line with the research findings to minimise from the applied and practical business approach, risk exposures for directors across various jurisdictions for business relevance.

Governance-related issues concerning directors' decision-making will be discussed, focusing on:

• Why might directors make bad decisions?
• Are decisions made in good faith a valid defence?
• How can good governance mitigate legal exposures?

Governance professionals equipped with the relevant understanding of the law would be able to advise directors to navigate potential pitfalls.
