In this seminar, the speaker will share some practical examples, case studies and useful tips for the continuing obligations of listed companies under Chapter 13 of the Main Board Listing Rules. The following items will be covered:

• Obligations of disclosing inside information
• Practical tips for profit warning and positive profit alert announcements
• Disclosure of unusual movements in price and/or trading volume of listed securities
• Compliance issues in relation to advance to an entity, financial assistance and guarantees to affiliated companies, pledging of shares by the controlling shareholder, loan agreement with covenants relating to specific performance of the controlling shareholder, and breach of loan agreement
• Sufficient level of operations
• Public float requirements and high concentration of shareholding
• Other continuing obligations under the Listing Rules
• Practical sharing on the relevant announcements
