Most listed companies are Hong Kong, Bermuda, Cayman and PRC incorporated. They also have subsidiaries and affiliates incorporated in Hong Kong and elsewhere. The governance professional will be no stranger to dealing with offshore companies.
In this context, the governance professional might well have to seek to wind up an offshore company in Hong Kong as a creditor, or to defend recovery actions by liquidators appointed outside Hong Kong as a debtor, or simply unwittingly caught in recovery actions involving them.
It will therefore be useful, for the governance professional to know when Hong Kong courts would exercise jurisdiction to wind up an offshore company, or to assist foreign liquidators as part of 'judicial comity'.
