Description

The governance professional working for listed issuers is frequently called to support INEDs. With recent amendments to the Corporate Governance Code (CG Code) under the Listing Rules, it is time to review relevant issues relating to INEDs. This seminar, with cases studies, is intended to provide the governance professional with updated practical working knowledge through bringing together industry experts to discuss the relevant issues, as well as thoughts relating to further regulatory developments in their selection. Specifically, this seminar will cover:

  1. Case studies on INEDs found liable for breach of duties and listing rules
  2. HKEX’s INED requirements
  3. INEDs’ roles and responsibilities
  4. One of the INEDs must have accounting/finance expertise – their roles/responsibilities
  5. Board structure for effectiveness
  6. Investors’ take on sufficiency of the CG Code amendments
  7. Thoughts on the “sliding scale negative voting” approach to the election of INEDs
