Job Description
Provide full spectrum of company secretarial services to the non-listed companies of the Group (on-shore and off-shore)
Handle corporate secretarial transactions in corporate and business projects
Ensure compliance with corporate governance and all relevant statutory and regulatory requirements
Independently attend working meetings with internal functions/parties
Liaise with external agents on statutory compliance matters
Provide support with organising board meetings and preparing board minutes
Maintain and update statutory records and comprehensive filing and database systems
Participate in ad hoc projects/assignments as required
Minimum Qualifications
Degree holder in Corporate Governance, Law, business or related disciplines
Member of HKCGI/CGI or equivalent
3-4 years of relevant experience gained from legal/professional firms and/or commercial sector
Experience in drafting and handling company secretarial documents for onshore and offshore companies, including BVI, PRC and SA companies
Practical experience in dealing with incorporation, de-registration, re-structuring and business acquisition/sale
Solid knowledge of the Companies Ordinance and other applicable regulations
Excellent command of written and spoken English and Chinese (Putonghua)
Proactive, detail-minded,well-organised, good team player with good interpersonal skills
Proficiency in MS Office applications, such as MS Word, Excel, PowerPoint and Chinese word-processing
Candidates with less experience / are exam finalists will be considered as Assistant Company Secretarial Officer
