Job Description

- Lead the Governance and Company Secretarial Department to provide professional support to Legal and Governance Director in performing a full range of company secretarial duties and promoting best practices in the Corporation
- Ensure compliance with all relevant laws and regulations, in particular, but not limited to the Hong Kong Listing Rules
- Handle and liaise with regulators on governance and company secretarial matters of MTR Group, including periodic and ad hoc reporting, notifications and disclosures
- Provide support and advice to internal clients and stakeholders on matters relating to company secretarial, governance, and Hong Kong Listing Rules
- Support the Chairman and the Legal and Governance Director on matters relating to the MTR Board and Board Committees such as terms of reference, structure and composition of Board Committees, organisation of Board visits
- Support, advise and liaise with individual directors and executives on governance-related matters
- Organise, manage, and administer meetings of the Board, Board Committees, Executive Committee, and such other committees/management bodies of MTR assigned from time to time, including attending meetings and preparing the meeting packs and minutes
- Oversee and take charge of the Annual General Meeting, manage the governance-related disclosures in the annual and interim report of the Corporation, including the corporate governance report and directors’ report
- Review and oversee the implementation of the corporate entity governance framework within MTR Group for continuous enhancement, such as training on governance and company secretarial matters and design of compliance programmes for important governance-related matters such as Model Code, inside information and connected transactions
- Take ownership of important policies related to the work of the Governance and Company Secretarial Department such as Nomination Policy, Board Diversity Policy, and Shareholder Communication Policy

Minimum Qualifications

- University degree in a related discipline, with a lawyer qualification and/or recognized company secretarial/ corporate governance qualifications
- A minimum of 15 years’ relevant experience in reputable organisation, of which 10 years should be at managerial level
- Proven experience in company secretarial/corporate governance with excellent leadership, communication and influencing skills

- Candidates with less experience will also be considered
