Job Description
• Assist with full spectrum of company secretarial duties for the group of companies in different jurisdictions;
• Assist to handle documents from incorporation to dissolution of Hong Kong and offshore companies;
• Maintain and update company secretarial records and corporate filings etc;
• Deliver legal documents and prepare the necessary returns and forms with the relevant authorities;
• Liaison with external parties and professional firms;
• Draft resolutions and minutes of board and shareholders' meetings;
• Assist in organising board meetings, shareholders' meetings and annual general meetings;
• Ensure proper and timely compliance with corporate governance and statutory rules and regulations and;
• Assist in ad-hoc projects from time to time.
Minimum Qualifications
• Bachelor Degree in Corporate Governance, legal studies or related disciplines;
• 1 - 3 years’ practical experience in company secretarial functions;
• Member of HKCGI is preferable;
• Excellent knowledge of Hong Kong Companies Ordinance and other compliance regulations;
• Solid experience in handling company secretarial duties for offshore companies is preferrable;
• Detail-oriented and well organized;
• Good command of English and Chinese, both spoken and written.
