Job Description
Responsibilities
• Handle full spectrum of company secretarial matters for the group company and its subsidiaries;
• Monitor and ensure compliance with the Companies Ordinance and other statutory and regulatory requirements;
• Handle the incorporation / deregistration of companies in different jurisdictions and bank account opening;
• Organize board meetings and committee meetings, prepare board minutes and resolutions, annual / interim reports, announcements and circulars, statutory filings and maintaining proper statutory records;
• Liaise and coordinate with internal and external parties, including solicitors and regulatory bodies；
• Liaise with outsourced compliance team for SFC type 4,9 licensing related work；
• Undertake ad hoc assignments.
Minimum Qualifications
Requirements
• Degree holder with associate membership of HKCGI or CGI;
• 4-8 years of relevant experience, preferably gained in listed or investment companies or professional firms;
• Good knowledge of the Listing Rules, Companies Ordinance, Securities and Future Ordinance and other applicable laws and regulations;
• Highly self-motivated and well organized, very strong sense of accountability and meticulous;
• Excellent communication skill, good team player and coordinator with multi internal and external parties;
• Strong problem-solving skills, good performer under pressure;
• Excellent command of written and spoken English and Chinese, proficiency in Putonghua is a MUST;
• Proficient in MS Office, Chinese word processing and hands-on experience with CSA software;
• Experience dealing with SFC type 4,9 licensing related work;
