Job Description

Responsibilities:
• Support the Corporate Secretary in managing measures for complying with statutory filing and reporting requirements, including compliance with the Companies Ordinance, section 88 of Inland Revenue Ordinance, articles of association of the Foundation and its subsidiaries, and other applicable laws and regulations
• Organise Board/ Council/ Committee meetings of the Foundation and its subsidiaries, including preparing and circulation of notices, meeting papers/materials, minutes taking, drafting resolutions, and other logistics
• Drive consistent and high-quality corporate secretarial support and documentations
• Assist in reviewing and implementing corporate governance and internal control related framework and development of the Foundation and its subsidiaries
• Assist in handling the appointments of Board/ Council/ Committee members of the Foundation and its subsidiaries, orientations and any other onboarding related activities, and the preparation of relevant materials
• Update and maintain accurate and complete statutory and other secretarial records and registers of the Foundation and its subsidiaries
• Assist in Trade Mark registration and the maintenance of relevant record
• Undertake governance project as arise
• Perform ad hoc duties as assigned

Minimum Qualifications

• Degree holder or above, preferably a member of The Hong Kong Chartered Governance Institute (formerly known as The Hong Kong Institute of Chartered Secretaries)
• 5-8 years’ hands-on solid company secretarial experience, preferably with exposure in sizeable organizations or professional firms
• Experience in charitable and/or non-governmental and/or social services organisation is an advantage
• High level of personal integrity, confidentiality and discretion
• Self-starter, highly motivated, multi-tasked and a positive team player with the ability to work in a fast-paced environment with a strong delivery focus
• Sensitive to service needs from different stakeholders
• Able to source and adapt new ideas to improve quality of work
• Presentable with excellent communication and interpersonal skills
• Good analytical, problem-solving, planning and organizational skills
• Excellent English and Chinese writing and listening skills are essential.
• Proficiency in Putonghua is preferred
• Proficient in MS Office applications
• Candidates with lesser experience may be considered for a junior position
